Terms of Use (Client)

Please read these Terms of Use ("Terms") carefully before accessing or using the NorthAxis tools ("the Tool") as a client, invited user, or other end user. By accessing or using the Tool, you agree to be bound by these Terms. If you do not agree, you must not use the Tool.

1. About NorthAxis

NorthAxis provides tools intended for self-directed tracking and exploration of financial scenarios. The Tool may be used by authorised advisers and, where made available by NorthAxis or an authorised adviser, by clients or other invited users. NorthAxis is not, by reason only of providing the Tool, acting as your financial adviser, fund manager, or financial institution.

2. Eligibility and Access

The Tool may be made available to invited clients and other permitted end users as determined by NorthAxis or an authorised adviser. Some areas of the Tool may require an access code or other access control, while other areas may be made available on a free-access basis. You are responsible for using the Tool only in the manner permitted by NorthAxis.

If you are issued an access code, you must keep it confidential and must not share it with any other person. You are responsible for activity carried out using your access credentials. NorthAxis reserves the right to suspend or revoke access at any time if these Terms are breached, if misuse is suspected, or if the Tool is withdrawn or amended.

3. Permitted Use

You may use the Tool solely for lawful purposes.

• You may use the Tool for your own personal informational and educational purposes only.
• You may not use the Tool to provide advice, make representations on behalf of NorthAxis, or share access with any other person.

You must not:

• Use the Tool to provide or hold out regulated advice that you are not licensed or authorised to provide
• Present outputs as guaranteed, personalised, or definitive recommendations
• Reproduce, distribute, resell, sublicense, or commercially exploit the Tool or its outputs without NorthAxis's written consent
• Attempt to reverse-engineer, copy, or extract the underlying code or data of the Tool
• Use the Tool in any manner that violates applicable law or regulation in Singapore or elsewhere

4. Nature of Outputs

All projections, figures, analyses, and calculations generated by the Tool are illustrative and for informational and educational purposes only. They are based on assumptions entered by the user and do not constitute financial, investment, tax, legal, or accounting advice.

You should not rely on the Tool as the sole basis for making financial decisions and should seek independent professional advice where appropriate. If you are using the Tool through an adviser, that adviser remains responsible for any advice, recommendation, or communication given to you.

5. Access Model

NorthAxis may make certain parts of the Tool available free of charge to clients, guests, or invited users, while other parts may remain restricted to authorised advisers or paid users. NorthAxis reserves the right to change, suspend, withdraw, or re-price any part of the Tool at any time without notice.

Where any paid access, premium feature, or subscription applies, the applicable fees and terms will be communicated separately at the point of sign-up or purchase.

6. Intellectual Property

All intellectual property rights in the Tool, including but not limited to its design, code, data, content, branding, and outputs format, are owned by or licensed to NorthAxis. Nothing in these Terms transfers any intellectual property rights to you. The NorthAxis name, logo, and brand are trademarks of NorthAxis and may not be used without prior written consent.

7. Limitation of Liability

To the fullest extent permitted by law, NorthAxis shall not be liable for any loss or damage of any kind arising from your access to, inability to access, use of, or reliance on the Tool or its outputs, whether you are an adviser, client, or other user. This includes direct, indirect, incidental, consequential, exemplary, or punitive loss or damage. The Tool is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

9. Changes to These Terms

NorthAxis may update these Terms from time to time. Continued use of the Tool after any changes constitutes your acceptance of the revised Terms. We may notify active users of material changes by email or by notice on the website where reasonably practicable.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
